End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal contract between VIP Codec Solutions (license administration) (“Licensor”, “we”, “us”) and the person or organisation that installs or uses the software (“Licensee”, “you”). It governs use of VIP Codec and related components, including machine-bound license keys issued through the VIP License Manager.

1. Grant of licence

Subject to payment of applicable fees (where required) and compliance with this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, revocable licence to install and use the Software on a single physical or virtual machine identified by the machine fingerprint supplied at activation, solely for Licensee’s internal broadcast / IPTV operations, within the limits of the issued license (tier, maximum concurrent streams, expiry date, and optional IP binding).

2. Restrictions

Licensee shall not, and shall not permit third parties to:

  • copy, modify, reverse engineer, decompile, or disassemble the Software except where mandatory EU law permits;
  • circumvent technical protection measures, including license verification or machine binding;
  • share, sublicense, rent, or resell license keys except as expressly authorised in writing;
  • use the Software in violation of applicable law, including copyright and broadcasting regulations.

3. License keys and machine binding

License keys are cryptographically bound to a machine fingerprint and may include expiry, stream limits, and optional IP restrictions. Licensee is responsible for safeguarding keys and for accurate registration data. Licensor may maintain a registry of issued keys for support, billing, and fraud prevention.

4. Updates and support

Unless agreed separately, Licensor is not obliged to provide updates, new features, or unlimited support. Maintenance terms may be specified in an order form or service agreement.

5. Personal data (GDPR)

Where Licensor processes personal data (e.g. contact email for license issuance), processing is based on Article 6(1)(b) GDPR (contract) and, where applicable, 6(1)(f) (legitimate interest in license administration). 6. Warranty disclaimer

To the maximum extent permitted by applicable law, the Software is provided “as is”. Licensor does not warrant uninterrupted operation, compatibility with third-party hardware (GPU, DVB, CAM), or fitness for a particular purpose. Mandatory statutory consumer rights under EU law remain unaffected where Licensee qualifies as a consumer.

7. Limitation of liability

Licensor’s aggregate liability arising out of or related to this Agreement shall not exceed the fees paid by Licensee for the Software in the twelve (12) months preceding the claim. Licensor is not liable for indirect, incidental, or consequential damages, loss of profit, or data loss, except where liability cannot be excluded under mandatory law (including death or personal injury caused by negligence, or fraud).

8. Term and termination

This Agreement begins upon acceptance (installation, activation, or use) and ends when the license expires or is revoked. Licensor may terminate for material breach after notice where curable. Upon termination, Licensee must cease use and destroy copies except backups required by law.

9. Governing law and disputes

This Agreement is governed by the laws of the European Union Member State in which Licensor is established, without regard to conflict-of-law rules. Courts of that Member State shall have non-exclusive jurisdiction, without prejudice to mandatory consumer jurisdiction rules in the Licensee’s country of residence.

10. Entire agreement

This EULA, together with any order form and the Privacy Policy, constitutes the entire agreement regarding the Software. If any provision is invalid, the remainder remains in effect.
